Terms of Service

1. Acceptance of Terms
By accessing or using Memora, you agree to be bound by these Terms of Service. If you are using Memora on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these terms. If you do not agree, do not use the service.
2. Service Description
Memora is an AI-powered meeting intelligence platform operated by Utopia Ventures. The service includes: meeting audio recording, automated transcription via OpenAI Whisper, AI-generated summaries and action items via Anthropic Claude, and automated routing of meeting outcomes to designated recipients within your organisation. We may update, modify, or discontinue features at any time with reasonable notice.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@memoraai.my if you suspect unauthorised access.
4. Acceptable Use
When using Memora, you agree that you will:
- Obtain consent from all meeting participants before recording, in compliance with applicable Malaysian laws and the Personal Data Protection Act 2010 (PDPA).
- Not use the service for any unlawful, fraudulent, or harmful purpose.
- Not upload content that is defamatory, obscene, or violates the rights of any third party.
- Not attempt to reverse-engineer, tamper with, or gain unauthorised access to the service or its infrastructure.
- Not use the service to process data you do not have the legal right to process.
Violation of these terms may result in immediate suspension or termination of your account without refund.
5. Data Ownership
You retain full ownership of your meeting recordings, transcriptions, summaries, and all content generated from your data. We do not claim any intellectual property rights over your content. We may use anonymised, aggregated data (which cannot be linked back to you or your organisation) to improve the service.
6. Subscription and Payment
Memora offers the following plans:
- Free — up to 10 meetings per month with basic transcription and summaries.
- Pro — RM299/month, billed monthly in Malaysian Ringgit (MYR). Includes 50 meetings per month, unlimited team members, advanced routing, and full export capabilities.
- Unlimited — RM699/month, billed monthly in Malaysian Ringgit (MYR). Includes unlimited meetings, unlimited team members, priority support, and dedicated onboarding.
Paid subscriptions are billed at the start of each billing cycle. Prices are exclusive of any applicable taxes. We reserve the right to adjust pricing with 30 days' written notice.
7. Cancellation and Refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle — you will retain access until then. No partial refunds are issued for unused portions of a billing cycle. If you cancel within the first 7 days of your initial subscription, you may request a full refund by contacting support@memoraai.my. After cancellation, your data will be permanently deleted within 30 days unless you request an export beforehand.
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will provide reasonable notice for scheduled maintenance where possible.
9. AI Accuracy Disclaimer
Memora uses AI for transcription and summarisation. While we strive for accuracy, AI-generated content may contain errors, omissions, or misinterpretations, particularly with mixed-language audio (Bahasa Malaysia, English, Mandarin). You are responsible for reviewing AI-generated outputs before acting on them. Memora is not a substitute for professional note-taking in high-stakes legal, medical, or regulatory contexts.
10. Limitation of Liability
To the maximum extent permitted by Malaysian law, Memora and Utopia Ventures are provided "as is" without warranties of any kind, express or implied. We are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from: AI transcription or summarisation errors; missed or incorrectly routed action items; service interruptions or data loss; or any decisions made based on AI-generated outputs. Our total aggregate liability is limited to the amount you paid to Memora in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Utopia Ventures, its officers, employees, and agents from any claims, losses, or damages arising from your use of the service, your breach of these terms, or your violation of any law or third-party rights, including failure to obtain recording consent from meeting participants.
12. Governing Law
These terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to These Terms
We may update these terms from time to time. Material changes will be communicated via email at least 14 days before they take effect. Continued use of the service after changes constitutes acceptance of the updated terms.
